Terms of Service

Effective Date: Sep 14, 2024

These Terms of Service ("Terms") govern your use of the services provided by ARBS, a Canadian-based service provider specializing in trucking safety compliance, social media marketing, and IVR solutions. By engaging with ARBS, you agree to these Terms.


Services

ARBS offers a variety of services, including trucking safety compliance, social media marketing, and IVR services. The specific terms of each service may be detailed in separate agreements or contracts with clients.


Contractual Terms

Clients who engage with ARBS on a contract basis agree to the following terms:

  • Trial Period: Clients are entitled to a 15-day trial period to assess the services provided. If the client is not satisfied with the service, they may cancel the contract within the 15-day trial period without any penalties, and the contract will be terminated immediately.
  • Notice of Cancellation: After the 15-day trial period, if the client wishes to cancel the services, a 30-day notice period is required. The client must provide written notice to ARBS regarding their intent to cancel.
  • Billing During Notice Period: If the client’s billing cycle occurs within the 30-day notice period, the billing for that cycle will be processed, and the services will continue until the end of the 30-day period. After that, no further charges will apply, and services will be terminated.


Billing and Payments

  • Payment Terms: Payment for services is due according to the schedule outlined in the client’s contract or agreement with ARBS. All payments must be made promptly via the agreed-upon payment methods.
  • Late Payments: ARBS reserves the right to charge interest or impose penalties on any overdue payments as outlined in the client’s service contract. Continued non-payment may result in service suspension or termination.


Service Availability and Changes

ARBS aims to provide consistent and reliable services. However, we reserve the right to modify, suspend, or discontinue any service at any time with reasonable notice. Clients will be informed of any significant changes that may affect their use of our services.


Cancellation and Termination of Services

  • Termination by the Client: Clients may cancel services by providing a 30-day written notice. The services will continue for 30 days after the notice, and any billing due within that time frame will be processed.
  • Termination by ARBS: ARBS reserves the right to terminate services if a client breaches these Terms, including but not limited to failure to pay for services, misuse of services, or violations of applicable laws and regulations.


Refunds

No refunds will be issued for services that have already been provided, unless otherwise stated in the client’s contract or required by law. Any refund requests for unused services will be handled on a case-by-case basis, subject to the terms of the contract.


Liability

ARBS will not be liable for any indirect, incidental, or consequential damages that may result from the use of our services. Our maximum liability to a client will not exceed the amount paid by the client for services rendered in the previous 2 months.


Client Responsibilities

Clients agree to:

  • Provide accurate and complete information for the delivery of services.
  • Use the services provided by ARBS in a lawful and responsible manner.
  • Notify ARBS of any issues or concerns with the services as soon as they arise.


Confidentiality

ARBS takes privacy and confidentiality seriously. Both parties agree to protect any confidential information shared during the course of the contract and services. Personal data will be handled in compliance with ARBS's Privacy Policy and applicable Canadian privacy laws, including PIPEDA.


Dispute Resolution

Any disputes arising out of or related to these Terms or the services provided by ARBS will first be attempted to be resolved amicably through discussion and negotiation. If a resolution cannot be reached, the dispute will be subject to the jurisdiction of the courts in [Insert Province], Canada.


Governing Law

These Terms are governed by and construed in accordance with the laws of Canada and the province of [Insert Province], without regard to its conflict of law principles.


Modifications to Terms

ARBS reserves the right to update or modify these Terms at any time. Clients will be notified of significant changes, and continued use of ARBS’s services after any modifications constitutes acceptance of the revised Terms.
